2.The Receiving Party agrees that the Confidential Information will be used solely for the purpose of evaluating its interest in entering into a Business Relationship with the Disclosing Party,and that such information will be kept confidential by the Receiving Party and its Representatives at all times following such disclosures; provided,however,that (a) any of such information may be disclosed to the Receiving Party’s Representatives who need to know such information for the purpose of evaluating a possible Business Relationship between the Disclosing Party and the Receiving Party (it being understood that such Representatives shall be informed by the Receiving Party of (i) the confidential nature of such information and (ii) the terms of this Agreement and the obligation of confidentiality undertaken by the Receiving Party under this Agreement,and shall agree to comply with the terms set forth herein),and (b) any disclosure required by applicable law or legal proceedings may be made,subject to compliance with this Agreement.
