第四条 经营场所
4.1乙方开设的所有店/柜须经甲方书面批准后设立.乙方必须维护甲方店面统一标准形象,所有店/柜须按甲方要求装修（包括新店装修、老店改造和老店局部改造）；如甲方有指定的施工队和供货商,则由指定的施工队和供货商负责乙方店/柜的统一装修、展具和道具供货,费用由乙方负担；乙方应保持店/柜装修设施完好,不得随意拆换,如有破损,乙方须负责及时修复；甲方根据经营及品牌形象需要调整对店/柜装修的要求时,乙方须积极按甲方要求对店/柜重新装修,费用由乙方承担.
4.2如乙方在经营过程中发生经营场所不符合协议要求的情况,或因经营场所、营业执照、资金等问题导致中断经营或未经甲方许可擅自停止营业的（不可抗力除外）,视乙方违约.
4.3乙方店/柜数量减少的或因不可抗力暂停营业的,自数量减少情况发生之日起或自导致暂停营业的不可抗力因素消除之日起二个月内仍未开设新店恢复数量或恢复营业的,视为乙方违约.
4.4乙方未经甲方同意不得转让或变相转让专卖店的经营权或使用权,不得将其转租、承包给第三方,也不得以专卖店场地或经营权与第三方联营或联销；乙方擅自实施前述行为的,均为无效.
第五条 特许授权
5.1甲方授权乙方在指定销售区域内享有以下权利；
1.按本协议约定使用“XXXX专卖店”的名称；
2.按本协议约定以甲方特许加盟商的名义经营甲方产品；
3.按本协议约定在店/柜的装修、装潢上使用甲方商标及相关标识；
4.除前述三条之外,未经甲方书面同意,乙方不得超出本协议的范围使用甲方的名称、商标、标识或装潢.
5.乙方未经甲方同意不得擅自将本协议项下的一切权利与义务转让给第三方,乙方擅自实施前述行为的,视为违约,其转让行为无效；转让申请即第三方经甲方同意后,乙方需首先和甲方解除特许加盟的合同关系,甲方再和第三方签署新的特许加盟合同.
6.乙方只有在甲方授权的指定销售区域内且经过甲方批准的店/柜中销售甲方产品,如以其他任何方式包括但不限于在网络和电视直销节日中销售甲方产品,必须经过甲方书面同意
